This Privacy Policy explains how BHBB USA | Marketplace, a Phase 1 beta project operated by BAD HABBIT USA LLC under the BHBB USA brand, collects, uses, shares, and protects information in connection with the marketplace. BHBB USA | Marketplace is a controlled, invite-first private B2B affiliate marketplace for approved limo and chauffeur companies in the initial South Florida market. It is not a public consumer booking marketplace.

This Policy works together with the BHBB USA | Marketplace Terms and Conditions. Capitalized terms not defined here have the meaning given in the Terms and Conditions.

1. Who We Are

The platform operator and the party responsible for information handled through the marketplace is BAD HABBIT USA LLC, operating BHBB USA | Marketplace under the BHBB USA brand, based in Miami, Florida. Contact details are provided in the Contact section below.

2. Who This Policy Covers

BHBB USA | Marketplace is a business-to-business platform. This Policy is directed to approved or invited affiliate companies and their authorized users (for example, owners, dispatchers, and staff who access the marketplace on a company's behalf). It is not directed to members of the public, and the marketplace does not offer consumer ride booking.

Authorized users must be adults who are permitted to act for their company. The marketplace is not intended for children, and we do not knowingly collect information from children.

3. Information We Collect

We collect the following categories of information in connection with the Phase 1 Beta:

  • Company and onboarding information – company legal name, trade name or DBA, primary contact details, company registration documentation, proof of insurance or certificate of insurance, operating markets, vehicle categories, and other reasonable verification materials.
  • Account and access information – user account details, login credentials, role, and access status.
  • Marketplace activity – Post Job and Exchange Job postings, applications, proposals, acceptances, matches, status updates, completions, cancellations, and related transaction records.
  • Masked and protected information – limited operational details shown in masked form before commitment, and protected details (such as company identity, client identity, exact addresses, direct contacts, and exact internal value) handled under controlled reveal rules.
  • Communications – in-platform messages, notes, status records, and dispute-related communications linked to a transaction.
  • Payment and settlement signals – transaction value, value bands, payment status, dispute status, and related commercial signals. Phase 1 uses direct affiliate-to-affiliate settlement; the platform does not hold funds, act as escrow, automate payouts, or process card payments in Phase 1.
  • Technical and usage information – information generated when users access the platform, which may include device, browser, log, and usage data.

4. How We Use Information

We use information for the following purposes:

  • Onboarding, verification, and access control.
  • Compliance review for platform access (this does not replace each affiliate's own legal, insurance, and regulatory obligations).
  • Operating the Post Job and Exchange Job workflows, including masked visibility and controlled reveal.
  • Executing, tracking, and recording transactions and their lifecycle status.
  • Handling disputes, incidents, holds, and trust or anti-circumvention concerns.
  • Tracking payment status and commercial signals (without acting as escrow or guaranteeing payment in Phase 1).
  • Producing marketplace metrics, liquidity measures, and reporting from real marketplace data.
  • Maintaining security, preventing misuse, and protecting marketplace trust.
  • Administering the Phase 1 Beta and communicating with affiliates and authorized users.

5. Privacy by Design: Masked Visibility and Controlled Reveal

Protecting affiliate and client relationships is built into the marketplace. Before a valid in-platform commitment, opportunities are designed to appear in masked form, limiting access to protected information such as company identity, client identity, exact addresses, direct contact information, and exact internal value. Protected details are designed to reveal only after the required commitment, acceptance or match confirmation, and applicable checkpoints are completed, or where a controlled operational exception is approved. Affiliates are restricted from attempting to bypass controlled reveal or obtain protected information through side channels.

6. How We Share Information

We do not sell personal or business information. We share information only as described below:

  • With other affiliates – only the masked information appropriate before commitment, and protected details only after valid commitment and controlled reveal, as required to coordinate and complete a transaction.
  • With service providers – vendors that support platform operations, such as hosting, storage, email, analytics, identity or document handling, and, where later applicable, payment services. We seek to use role-based, controlled, and revocable access where feasible.
  • For legal, safety, and trust reasons – where reasonably necessary to comply with law, respond to lawful requests, enforce the Terms, handle disputes, or protect rights, safety, and marketplace integrity.
  • In a business transfer – in connection with a merger, acquisition, financing, or sale of assets, subject to appropriate protections.

7. Third-Party Services

BHBB USA | Marketplace relies on third-party services to operate, which may include the marketplace platform provider, hosting and storage, email, analytics, identity or document handling, and, where later applicable, payment services. These providers process information on our behalf or under their own terms and privacy practices.

8. Cookies and Analytics

The marketplace and related pages may use cookies or similar technologies for authentication, security, preferences, and analytics.

9. Data Retention

We retain information for as long as needed to operate the marketplace, complete and record transactions, handle disputes, meet legal and recordkeeping obligations, and protect marketplace trust. Cancelled, disputed, completed, expired, or withdrawn records may be retained in role-based history and administrative records for review, metrics, payment, dispute, and trust purposes.

10. Data Security

We use reasonable administrative, technical, and organizational measures intended to protect information, including role-based access and controlled handling of protected details. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

11. Your Choices and Rights

Authorized users and affiliate companies may request to access, correct, or update their account information, and may contact us with questions or requests about their information using the details in the Contact section. Depending on applicable law, individuals or businesses may have additional rights regarding their information.

12. Out-of-State and International Access

The marketplace is operated from the United States and the Phase 1 market is South Florida. If the platform is accessed from outside that market, information may be processed in the United States.

13. Confidentiality and Restricted Use of Marketplace Information

Information obtained through BHBB USA | Marketplace, including masked job data, revealed transaction data, counterparty information, and client-related data, may be used only for authorized marketplace purposes. Marketplace information is not a lead list, prospecting tool, or general commercial asset, and may not be copied, scraped, bulk exported, repurposed, or commercialized except as expressly permitted. These obligations are described further in the Terms and Conditions.

14. Not a Consumer Service

BHBB USA | Marketplace Phase 1 is a private affiliate-to-affiliate beta for verified transportation companies. It is not a public consumer booking marketplace, and the original booking company remains the client-facing owner of its client relationship.

15. Changes to This Policy

We may update this Privacy Policy from time to time. We will indicate the effective date of the current version, and continued use of the marketplace after an update means the user or affiliate accepts the updated Policy, unless a separate acknowledgment is required.
